Job Description
GENERAL SUMMARY
The Senior Contract Manager (Contract Compliance Analyst) is a detail-oriented position that creates value for DeZURIK through analysis and negotiation of commercial contract terms and conditions while balancing risk and reward with DeZURIK standards. This position assists in managing the contractual risks for the company while collaborating with business unit leaders and financial executives to assist in growing the company.   In addition, the position will back up and support duties covered by the Risk Manager. 

PRINCIPAL DUTIES AND RESPONSIBILITIES (ESSENTIAL FUNCTIONS)
Responsible for managing the risk associated with commercial contracts across all DeZURIK business units and location; optimizing the risk/reward balance.
  • Manage, route, and execute contract agreements submitted by DeZURIK customers.
  • Establish and maintain constructive working relationships with internal and external partners.
  • Draft and negotiate domestic and foreign contracts with customers and internal and external partners to mitigate contract risk and limit negative financial impact.
  • Evaluate opportunity terms and conditions submitted by sales department to ensure they are consistent with DeZURIK finance, security, privacy, and intellectual property policies.
  • Assist with complex projects and other job-related activities as assigned by the supervisor.
  • Manage, route, and execute contract agreements submitted by DeZURIK customers.
  • Document the communication, negotiation and execution of contracts, terms and conditions in content management system (M-Files or equivalent).
  • Develop, enhance, negotiate, and/or maintain Master Terms and Conditions agreements for strategic customers.
  • Establish thorough understanding of, and management of risk mitigation tools such as surety bonds, letters of credit, etc. for North American customers.
  • Lead special contract-related projects as necessary.
  • Initiate and implement contract management and interdepartmental process improvements.
  • Collaborate with the Risk Manager, business team member, and finance team members to resolve contract discrepancies for customers and representatives to assist in the collections processes.  Properly manage customer purchase contracts to prevent collection issues.
  • Escalate terms and conditions to a higher authority for contracts that are beyond authorized limit or for contracts of any value that contain special terms or conditions.   Engage the DeZURIK Risk Manager, Business Unit leaders, CFO, or Legal Counsel when required.
EDUCATION AND EXPERIENCE
  • Bachelor’s degree in relevant field.   Master’s degree, NCMA Certification (CCCM or CPCM), a plus.
  • Minimum 5-7 years of relevant professional contract and/or management experience.
  • Prefer minimum of 3-5 years of experience reviewing/negotiating contract terms and conditions or equivalent experience (firm grasp of English language, particularly in written form).
  • Prefer experience with manufacturing, international contracting and export regulations, and/or design build/infrastructure construction Contracts.
KNOWLEDGE, SKILLS AND ABILITLIES
  • Knowledge of the Uniform Commercial Code, the FAR, business law and its application to contracts including indemnification, intellectual property, and other such contract provisions.
  • Ability to identify, draft, and negotiate non-standard contract terms and conditions. Mature, confident, polished character in order to handle difficult situations/negotiations.
  • A clear understanding of sales cycle from customer proposal through payment collection.
  • Strong analytical skills, detail oriented, and ability to evaluate risk/reward evaluation.
  • Working knowledge of contract principles and how to apply them to contract management.
  • Requires excellent verbal and written communications skills in order to work with customers, representatives, attorneys and various DeZURIK associates at all levels in the organization. 
  • Must have a solid grasp of commercial contract language and risk mitigation tools or the requisite capacity to quickly acquire this knowledge.
  • Highly motivated, self-starter that can manage/prioritize multiple activities.
PHYSICAL DEMANDS
  • Physical demands are typical of an office position including extended periods of sitting, extensive use of a personal computer and telephone.
  • Position requires movement throughout the office in order to resolve work problems and facilitate processes.
WORKING CONDITIONS
Normal manufacturing and office environment.  This position is currently eligible for the DeZURIK hybrid work schedule and may be eligible for a 100% remote work schedule.  Travel will be necessary as required.
